These Terms of Service ("Terms") govern your access to and use of Propidy, a property management platform operated by Gallo Rojo Labs LLC ("Company", "we", "us", or "our"). By accessing or using Propidy, you agree to be bound by these Terms.
By creating an account or using Propidy in any way, you confirm that you are at least 18 years old, have the legal capacity to enter into these Terms, and agree to comply with them. If you are using Propidy on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
Propidy is a software-as-a-service (SaaS) platform designed for short-term rental hosts and property managers. It provides tools for managing properties, reservations, guest portals, calendars, and reports. The features available to you depend on the subscription plan you select.
To use Propidy, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.
Propidy offers multiple subscription tiers (FREE, PLUS, PRO, and CUSTOM), billed monthly or annually. All sales are final. We do not issue refunds for unused time on any plan, whether monthly or annual.
Upgrades. When you upgrade to a higher-tier plan or to a longer billing interval, the change takes effect immediately and you are billed the full price of the new plan at that time. Any remaining time or value from your previous plan is not credited or refunded.
Downgrades. When you downgrade to a lower-tier plan or a shorter billing interval, you retain access to your current plan's features until the end of the billing period you have already paid for. The downgrade takes effect, and the new plan is billed, at your next renewal date.
Cancellations. You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of your current paid billing period; you retain access until that date, after which your account moves to the FREE plan.
We reserve the right to change pricing with at least 30 days' notice. Failure to pay may result in suspension or downgrade of your account.
You agree not to use Propidy to: (a) violate any applicable law or regulation; (b) transmit spam, malware, or harmful content; (c) attempt to gain unauthorized access to our systems; (d) resell or sublicense access to the platform without authorization; (e) collect or harvest data from the platform in an unauthorized manner.
Propidy provides a public-facing guest portal accessible via unique token-based links. You are solely responsible for the content you make available through your guest portals, including access codes, house guides, and contact information. You must ensure that such content complies with all applicable laws and does not infringe any third-party rights.
All intellectual property rights in Propidy, including the platform, branding, and software, are owned by Gallo Rojo Labs LLC or its licensors. The Propidy™ name and logo are trademarks of Gallo Rojo Labs LLC. You are granted a limited, non-exclusive, non-transferable license to use the platform solely for its intended purpose during your subscription term.
You retain ownership of any content you upload to Propidy, including property descriptions, photos, house guides, recommendations, and other materials ("User Content"). By uploading User Content, you represent and warrant that you own or have the necessary rights and licenses to use and share that content, and that it does not infringe the intellectual property or other rights of any third party.
You agree to indemnify and hold harmless Gallo Rojo Labs LLC, its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from User Content you upload, including claims that such content infringes a third party's copyright or other intellectual property rights.
DMCA Notice and Takedown Procedure. Propidy respects the intellectual property rights of others. If you believe that material available through Propidy infringes your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act ("DMCA") to our designated agent:

Your notice must include: (1) a physical or electronic signature of the copyright owner or authorized representative; (2) identification of the copyrighted work claimed to be infringed; (3) identification of the material claimed to be infringing and its location on Propidy; (4) your contact information; (5) a statement that you have a good-faith belief that the use is not authorized; and (6) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the copyright owner.
If you believe your content was removed in error, you may submit a counter-notification to the same designated agent, including a statement under penalty of perjury that you have a good-faith belief the material was removed as a result of mistake or misidentification, and consenting to the jurisdiction of the federal court in your district (or, if outside the United States, any judicial district in which Gallo Rojo Labs LLC may be found).
We reserve the right to remove content and terminate accounts of users who are found to be repeat infringers.
Your use of Propidy is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for ensuring you have appropriate legal bases for any personal data you process through the platform, including data about your guests.
Propidy integrates with third-party services including Google (OAuth, Places API), Supabase, and Resend. Your use of these integrations is subject to the respective third-party terms of service. We are not responsible for the availability or conduct of third-party services.
To the maximum extent permitted by law, Gallo Rojo Labs LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use Propidy. Our total liability to you shall not exceed the amount paid by you to us in the twelve months preceding the claim.
Propidy is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free of viruses.
We may suspend or terminate your account at any time if you breach these Terms or if we decide to discontinue the service. You may cancel your account at any time. Upon termination, your right to access the platform ceases immediately. We may retain your data for a period after termination as required by law or our data retention policies.
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of Propidy shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court, except that either party may bring an individual claim in small claims court if it qualifies. The arbitration shall be conducted in the State of Delaware, in English, before a single arbitrator. The arbitrator's decision shall be final and binding, and judgment may be entered on it in any court of competent jurisdiction.
Class action waiver: You and Gallo Rojo Labs LLC agree that any arbitration shall be conducted on an individual basis only, and not as a class, collective, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
If any part of this arbitration clause is found to be unenforceable, the remainder of this clause shall remain in full force and effect.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or by posting a notice on the platform. Your continued use of Propidy after the effective date of any changes constitutes your acceptance of the revised Terms.
